These Terms of Service ("Terms") govern access to and use of the services provided by Crubing LLC, a Wyoming limited liability company ("Crubing", "Zavu", "we", "our", or "us"), including APIs, messaging services, phone numbers, and related tools (collectively, the "Services").

By creating an account, integrating our APIs, or using the Services, you ("Customer", "you") agree to be bound by these Terms.

2. Nature of the Services

Zavu is a communications platform as a service (CPaaS) that enables businesses to send and receive communications through multiple channels, including WhatsApp, SMS, and email.

Zavu acts as the primary service provider to Customers and may rely on third-party carriers, aggregators, cloud providers, and messaging platforms to deliver the Services. Customers do not enter into any direct contractual relationship with such third parties.

3. Account Structure (Projects & Teams)

Customer accounts may include multiple projects, teams, users, or environments.

The Customer is solely responsible for all activity conducted across all projects and teams under its account. Use of multiple projects or teams does not constitute resale, sublicensing, or third-party access.

4. Account Security and Unauthorized Use

Customer is responsible for safeguarding all account credentials, API keys, access tokens, and any other authentication mechanisms associated with their account. Customer shall:

  • Maintain strong, unique passwords and enable two-factor authentication where available
  • Not share API keys or access tokens with unauthorized parties
  • Immediately rotate any credentials that may have been compromised
  • Promptly notify Zavu of any suspected or actual unauthorized access to their account

Liability for Unauthorized Use: Customer acknowledges and agrees that they are responsible for all usage and charges incurred through their account, including any usage resulting from unauthorized access, theft, or misuse of credentials—whether or not such access was within Customer's control. This includes charges resulting from compromised API keys, stolen payment methods added to the account, or unauthorized third-party access.

Notification Obligation: Customer shall immediately notify Zavu at security@zavu.dev if Customer becomes aware of any possible or actual unauthorized use, misuse, or access of the Services. Upon Customer's breach of the obligations set forth herein or Zavu's reasonable belief of such breach, Zavu may immediately suspend the provision of Services, in whole or in part, in its sole discretion.

Customer shall indemnify and hold harmless Zavu against any and all claims, expenses, liabilities, losses, or other damages (including attorneys' fees and expenses) resulting from Customer's failure to comply with this section.

5. No Resale or White-Label Rights

Unless expressly authorized in writing by Crubing LLC:

  • The Services may not be resold, sublicensed, or redistributed.
  • The Services may not be offered as a standalone communications product.
  • The Customer may not represent itself as a telecommunications carrier or messaging network.

Zavu grants a non-exclusive, non-transferable, revocable license to use the Services solely for Customer's internal business communications.

6. Compliance With Laws and Messaging Policies

Customer is solely responsible for ensuring compliance with:

  • All applicable laws and regulations
  • A2P messaging rules
  • Data protection and consumer protection laws
  • Zavu's Acceptable Use Policy ("AUP")
  • Channel-specific rules, including WhatsApp Business Messaging Policies
  • URL requirements: all links included in messages must point to publicly accessible websites that can be verified by our security systems

Zavu may suspend or terminate Services for non-compliance without notice.

7. WhatsApp-Specific Terms

Customer agrees to:

  • Obtain explicit, informed, and verifiable end-user opt-in prior to messaging
  • Retain proof of opt-in upon request
  • Comply with WhatsApp's 24-hour customer service window
  • Use only approved templates where required

Zavu may block templates, phone numbers, or accounts in case of violations.

8. Message Retention

By default, message content is retained for ninety (90) days, unless otherwise configured by the Customer.

Message metadata (such as timestamps, sender, recipient, and delivery status) may be retained for longer periods for operational, billing, and compliance purposes.

Customers may configure shorter or longer retention periods or disable message storage entirely, subject to technical limitations.

9. Phone Numbers

Phone numbers provisioned through Zavu are licensed, not owned, and remain subject to carrier and regulatory requirements. Numbers may be suspended or reclaimed as required by policy or law.

Certain countries require additional documentation before phone numbers can be activated, including identity verification (passport, national ID), proof of local address, or minimum commitment periods. Customer agrees to provide accurate documentation when requested. Failure to provide required documentation may result in number deactivation.

10. Emergency Services Disclaimer

No Emergency Calling Support

Zavu is a messaging platform and does not support emergency calls to 911, 112, or any local emergency services. In case of emergency, please use a traditional telephone service or mobile phone.

Customer acknowledges that the Services are not intended to replace traditional telephone services and should not be relied upon for emergency communications.

11. Fees, Billing, and Payments

Zavu uses Stripe as its sole payment processor.

Customer agrees to pay all applicable subscription and usage-based fees, including MAU-based or metered usage charges. All fees are non-refundable unless expressly stated otherwise. Funds added to your account balance are non-refundable and can only be used for services within the platform.

Customer is responsible for chargebacks, disputes, or payment failures.

Chargebacks and Payment Disputes: If a chargeback, payment dispute, or payment reversal is initiated against charges made to Customer's account, Customer agrees to pay a chargeback fee of $25.00 USD per dispute, in addition to the original charge amount. Customer acknowledges that chargebacks and disputes may result in immediate suspension of Services pending investigation. Zavu reserves the right to pursue collection of any amounts owed, including through third-party collection agencies.

Fraudulent Transactions: Customer is solely responsible for maintaining the security of their account credentials, API keys, and payment methods. Customer is liable for all charges incurred through their account, including those resulting from unauthorized access, unless Customer can demonstrate that the unauthorized access was caused solely by Zavu's negligence. Customer must immediately notify Zavu at security@zavu.dev upon discovering any unauthorized use of their account.

12. Suspension and Termination

Zavu may suspend or terminate Services immediately if Customer breaches these Terms, violates policies or laws, or poses legal, financial, or reputational risk.

Zero Tolerance Policy for Impersonation

Any attempt to impersonate logistics companies, banks, financial institutions, payment processors, government agencies, or any other legitimate entity will result in immediate and permanent account termination without refund. This includes but is not limited to: phishing, smishing, fraud, or any deceptive messaging practices.

Fraud Prevention and Law Enforcement Cooperation

Any misuse of messaging services for fraudulent, deceptive, or illegal purposes will result in:

  • Immediate and permanent account termination
  • Forfeiture of any remaining balance
  • Report to local law enforcement authorities
  • Full cooperation with any resulting criminal investigation

Zavu maintains complete message logs and metadata that can be used as evidence in legal proceedings. We cooperate fully with law enforcement investigations worldwide.

13. Limitation of Liability

To the maximum extent permitted by law, Crubing LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Total liability shall not exceed the fees paid by Customer in the thirty (30) days preceding the claim.

14. Indemnification

Customer agrees to indemnify, defend, and hold harmless Crubing LLC, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and expenses) arising out of or relating to:

  • Customer's use or misuse of the Services
  • Customer's violation of these Terms or any applicable laws or regulations
  • Customer's violation of the Acceptable Use Policy
  • Any content, messages, or communications sent through Customer's account
  • Any unauthorized use of Customer's account credentials or API keys
  • Any third-party claims arising from Customer's end users or recipients of messages
  • Chargebacks, payment disputes, or fraudulent transactions on Customer's account
  • Claims by carriers, platforms, or regulatory bodies related to Customer's messaging activities

This indemnification obligation shall survive termination of these Terms and Customer's use of the Services.

15. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States.
